1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Higley & Sønner (organisasjonsform: Enkeltpersonforetak, registered in Enhetsregisteret, Brønnøysundregistrene, Norway), trading as Sable Research ("we," "our," or "us"). By registering for an account, purchasing a subscription, accessing our research platform, or utilizing our private Discord community (collectively, the "Services"), you agree to be bound by these Terms.

2. Financial Disclaimer — Not Financial or Investment Advice

Nothing published on the platform constitutes personalized financial, investment, legal, or tax advice, nor a solicitation to buy or sell securities. Natural resource equities and commodity mining investments carry high capital risk, volatility, and potential loss of principal. You are solely responsible for conducting independent due diligence and consulting with a certified financial advisor before making any investment decisions.

3. Subscriptions & Billing

3.1. Subscription Plans: Access to the Sable Premium research workspace and Discord role is offered on a monthly recurring subscription basis. Prices are stated in USD (and exclusive of applicable VAT/sales taxes where handled via Stripe Managed Payments).

3.2. Payment Processing: Payments are processed securely via Stripe. By providing a payment method, you authorize continuous recurring charges on your billing date until cancellation.

3.3. Cancellation: You may cancel your subscription at any time with one click through the Billing Portal. Upon cancellation, you retain full access through the end of your current paid billing period, after which access to private models and Discord roles will terminate automatically.

4. Right of Withdrawal for Digital Content (Angrerettloven)

4.1. Statutory Notice: Under the Norwegian Cancellation Act (Lov om opplysningsplikt og angrerett ved fjernsalg mv. / Angrerettloven), consumers resident in Norway and the EEA generally have a 14-day statutory right of withdrawal from remote service contracts.

4.2. Waiver on Immediate Digital Performance: Pursuant to Angrerettloven § 22 bokstav n, the right of withdrawal does not apply to contracts for the supply of digital content not delivered on a tangible medium if performance has begun with the consumer's prior express consent and acknowledgment that the right of withdrawal is thereby lost. When purchasing a subscription and gaining immediate access to proprietary valuation files, models, and real-time research datasets, you expressly consent to immediate delivery and waive your 14-day right of withdrawal upon initial access.

5. Intellectual Property & Acceptable Use

5.1. Proprietary Rights: All mine models, valuation software, mathematical engines, research reports, datasets, trademarks, and code are the exclusive intellectual property of Higley & Sønner and protected under the Norwegian Copyright Act (Åndsverkloven) and international copyright conventions.

5.2. Individual License: Your subscription grants a single, non-exclusive, non-transferable personal license to view and utilize the data for your own investment analysis.

5.3. Prohibited Conduct: You may not:

• Resell, redistribute, republish, syndicate, or broadcast our proprietary datasets or research models to third parties without prior written authorization;
• Scrape, crawl, or extract platform data via automated bots, scripts, or unauthorized APIs;
• Share your login credentials or allow concurrent unauthorized users on your account;
• Engage in market manipulation, unlawful disclosure of non-public information, or abusive conduct within the community Discord.

Violations will result in immediate termination of account access without refund and potential legal remedies under the Norwegian Marketing Control Act (Markedsføringsloven) and Copyright Act.

6. Limitation of Liability

6.1. "As-Is" Service: While we employ rigorous engineering checks on our financial models, all data and outputs are provided on an "as is" and "as available" basis without express or implied warranties.

6.2. Liability Cap: To the maximum extent permitted under Norwegian law, Higley & Sønner shall not be liable for any indirect, consequential, special, or trading losses arising from reliance on the platform. Our total aggregate liability for direct damages shall be strictly capped at the total subscription fees paid by you in the twelve (12) months preceding the incident.

7. Termination & Suspension

We reserve the right to suspend or terminate accounts that breach these Terms, engage in payment fraud, or violate community rules. Unsubscribing or failed billing will result in automated revocation of private workspace access and Discord server roles.

8. Governing Law & Dispute Resolution

8.1. Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Norway (Norsk rett).

8.2. Jurisdiction: Any dispute that cannot be resolved through amicable negotiation shall be subject to the exclusive jurisdiction of the Bergen District Court (Bergen tingrett) as the agreed legal venue (verneting).

8.3. Consumer Dispute Resolution: If you are a consumer resident in Norway, you may also submit complaints to the Norwegian Consumer Authority (Forbrukertilsynet / Forbrukereuropa). EU/EEA consumers can utilize the European Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/.
